Terms and Conditions – Sale of Products

Article 1 – Definitions
In these terms and conditions, the following definitions apply
1. Entrepreneur: the natural or legal person offering products to consumers or businesses.

2. Consumer: a natural person who is not acting in the course of a profession or business and who enters into an agreement with the entrepreneur.

3. Agreement: the purchase agreement concluded remotely or in person between the entrepreneur and the customer.

4. Product: the goods offered by the entrepreneur.

5. In Writing: communication by letter or by e-mail.

Article 2 – Applicability

1. These terms and conditions apply to every offer made by the entrepreneur and to every agreement concluded between the entrepreneur and the customer.

2. Deviations from these terms and conditions are valid only if expressly agreed in writing.

3. The entrepreneur reserves the right to amend these terms and conditions in compliance with statutory provisions.

Article 3 – Offer and Agreement

1. The offer contains a complete and accurate description of the products offered.

2. The agreement is concluded at the moment the customer accepts the entrepreneur’s offer and meets the stipulated requirements.

3. The entrepreneur has the right to refuse an order or to attach special conditions to its execution.

Article 4 – Prices and Payment

1. All prices are stated in euros, including VAT, unless expressly stated otherwise.

2. Payment must be made within the agreed period, but no later than 14 days after the invoice date, unless otherwise agreed in writing.

3. In the event of late payment, the customer is in default, and the entrepreneur is entitled to charge statutory interest and collection costs.

Article 5 – Delivery and Transfer of Risk

1. Delivery will take place at the address provided by the customer, unless otherwise agreed.

2. The delivery time will be indicated as accurately as possible. Exceeding the delivery time does not entitle the customer to compensation, unless expressly agreed in writing.

3. The risk of damage to or loss of products passes to the customer at the moment of delivery.

Article 6 – Right of Withdrawal (Consumers Only)

1. The consumer has the right to withdraw from the agreement within 14 days after receiving the product, without stating reasons, provided that the product is unused and in its original packaging.

2. The costs of return shipment are for the account of the consumer, unless the product is defective or incorrectly delivered.

3. The right of withdrawal is excluded for products made to measure or for products that cannot be returned for hygienic reasons.

Article 7 – Warranty and Conformity

1. The entrepreneur guarantees that the delivered products comply with the agreement and meet the statutory requirements of soundness and usability.

2. If a product does not conform to the agreement, the customer must notify the entrepreneur in writing within a reasonable period.

3. The warranty becomes void if the defect is caused by improper use or modifications made by the customer.

Article 8 – Liability

1. The entrepreneur is not liable for damage caused by improper use of the products.

2. The entrepreneur’s liability is limited to the invoice value of the relevant product.

3. Indirect damage, including consequential damage and loss of profit, is excluded from compensation.

Article 9 – Force Majeure

1. The entrepreneur is not obliged to fulfil any obligation if hindered from doing so by a circumstance not attributable to them, such as strikes, transport problems, government measures, fire, natural disasters, or failures by suppliers.

Article 10 – Applicable Law and Disputes

1. All agreements and disputes are governed exclusively by Dutch law.

2. Disputes will, if not settled amicably, be submitted to the competent court in the district where the entrepreneur is established, unless mandatory law provides otherwise.
